The website, software application, and any related services known as "Trexa Health"
("Trexa Health") are developed and operated by Trexa Health Pty Ltd ("Trexa Health Pty
Ltd," "we," "us," "our") and its affiliates.
By accessing and/or using Trexa Health, you agree to these Terms and Conditions
("Terms"). If you do not agree to these Terms, you must not use Trexa Health.
You confirm that you have the legal authority to enter into, be bound by, and perform the
obligations under these Terms.
1. Accounts and Registration
1.1 Accounts
You have the legal capacity to enter into a binding agreement with us.
You will use Trexa Health in accordance with these Terms and our Usage Policy.

3. Fees and Payments
3.1 Subscription and Additional Fees
Access to Trexa Health may require a subscription fee ("Subscription Fee") payable in
advance for a defined period ("Subscription Period").
Fees are listed in AUD unless otherwise stated and may be adjusted with advance
notice.
Subscriptions auto-renew unless cancelled before the end of the Subscription Period.
No partial refunds will be issued unless expressly stated.
New or updated features may incur additional charges, subject to prior agreement.
4. Privacy and Data Use
4.1 Compliance
Both parties must comply with all relevant privacy legislation (e.g., Privacy Act 1988 (Cth),

notify us immediately of any suspected breaches.
9. Limitations
9.1 Technical Responsibility
You are responsible for ensuring your systems and devices are compatible with Trexa
Health.
9.2 No Medical Advice
Trexa Health is a clinical decision support tool designed to assist registered healthcare pr
ofessionals. However, it does notconstitute medical advice, diagnosis, treatment, or the pr
ovision of healthcare services. The outputs, insights, or recommendations generated by Tr
exa Health are intended to support—but not replace—clinical judgment and expertise.
Professional Oversight Required: You are solely responsible for independently
verifying and validating any information provided by Trexa Health before making
clinical decisions.
No Substitute for Clinical Judgment: You must not rely solely on Trexa Health
for diagnostic or treatment decisions. The final responsibility for patient care lies
entirely with the healthcare provider.
Compliance with Standards: You agree to use Trexa Health only in accordance
with applicable medical, ethical, and regulatory standards within your jurisdiction.
Patient Consent: Where applicable, you are responsible for ensuring informed co
nsent is obtained from patients prior to using Trexa Health in the care process.
9.3 Adverse Events
You must report any issues that may compromise patient safety or cause harm

10.1 Suspension
We may suspend your access to Trexa Health without notice, although we will attempt to
provide advance notice where practicable.
10.2 Termination
You may cancel your Account at any time through your account settings. We may terminate
access to Trexa Health if you breach these Terms, due to legal requirements, or if we choose
to discontinue the service. In such cases, a refund may be issued where applicable.
For monthly subscriptions: If you cancel during an active billing cycle, access will continue
until the end of that month, after which the subscription will not renew. No partial refunds
are issued for unused portions.
For annual subscriptions: If you cancel, access will remain available until the end of the
annual term. No refunds are issued for the unused remainder of the annual subscription
unless we terminate the service, in which case a prorated refund may be considered.
11. Indemnity
You agree to indemnify, defend, and hold harmless Trexa Health, its directors, officers, e
mployees, agents, and affiliates from and against any and all claims, liabilities, damages,
losses, expenses, and costs
(including reasonable legal fees) arising out of or in connection with:
Breach of Terms: Any breach of these Terms or other applicable policies by you
or anyone using your Account;
Misuse of the Platform: Any misuse, unauthorized use, or illegal use of Trexa Health;
Negligence or Misconduct: Any negligent or unlawful act or omission in connect
ion with your use of Trexa Health;
Third-
party Claims: Any claim by a patient, regulator, or third party resulting from your use of the platform or reliance
on its outputs.
This indemnity does not apply to the extent that any claim results from our wilful miscon
duct or gross negligence.
12. Liability

Trexa Health and its outputs are provided “as is” without warranty. All clinical decisions
must be independently verified

guarantee that the platform will be uninterrupted, error-
free, or suitable for your intended purposes.
No Guarantee of Accuracy: While we strive to maintain high accuracy and reliability, we do not warrant that Trexa
Health’s outputs will be completely free of err
ors or clinically appropriate in all cases.
No Clinical Liability: Trexa Health is not liable for any clinical outcomes resulti
ng from the use or misuse of the platform.
12.2 Limitation of Liability
To the maximum extent permitted by law, Trexa Health's total liability to you
(whether in contract, tort, negligence, or otherwise) for any claim related to these Terms
or your use of the platform is limited to:
The total amount of Subscription Fees paid by you to Trexa Health during the 12-
month period preceding the event giving rise to the liability;
We are not liable for indirect, incidental, special, consequential, or punitive dama
ges, including but not limited to loss of profits, data, goodwill, or other intangible
losses—even if we have been advised of the possibility of such damages.
This limitation applies irrespective of the cause of action and remains enforceable even if
any remedy fails of its essential purpose.
13. Governing Law
These Terms are governed by the laws of Western Australia and applicable federal laws of
Australia.
14. Updates
We may update these Terms with reasonable notice. Continued use of Trexa Health
constitutes acceptance of any changes.
15. Relationship of Parties
Nothing in these Terms creates a partnership, joint venture, or employment relationship.
16. General
You may not assign your rights or obligations without our written consent. Force majeure
provisions apply. These Terms represent the entire agreement between you and Trexa
Health Pty Ltd
